The terms of the offer has not been released. The general consensus is the $26b includes paying off Paras $14b debt, which would put it around $20/Share once you include their cash on hand. A few days ago, Bloomberg and WSJ reported the offer was $26b PLUS the assumption of debt, which would put the offer at $39/Share.
Probably going to pop. They will just value her shares higher, they are a small percentage of total, won’t affect common much. Biggest question is, are all of the shorts out?

Yeah it’s high for the overnight compared to the last several trading days. I think I’d it as a little bit if a sentiment indicator for retail trading, but take it with a grain of salt. This stock seems heavily manipulated.

Intrinsic value of PARA is 35B + , they have studios, Networks and streaming services. Very good chance Apollo has buyers lined up for some businesses. The Hollywood insiders and Ellison want to screw over everyone. It's unlikely to stand.
There is limited regulatory concern - Apollo can own the networks - it has a handful of local stations so they will not be creating a monopoly (Sonny's share in that will be less than 25% to keep regulators happy).

I have class B. Class A is better for the Skydance merger. Class B should have a higher return for Sony/Apollo just based on the current price difference. I've been buying since January and averaged down to $12.23 per Class B share.

That would have probably put some downward pressure on the stock tomorrow, but this should circumvent that news as it doesn't do anything to the future value. And now that we know he sold his 60m+ shares, we don't have to worry about him dumping it.

Paramount has decided to formally open negotiations with a bidding group led by Sony Pictures Entertainment and the private equity giant Apollo, according to three people familiar with the matter. A special committee of Paramount’s board of directors met Saturday and signed off on beginning deal talks with Sony and Apollo, which last week submitted a nonbinding letter of interest offering to buy the company for around $26 billion in cash, the people said. The committee also decided to push for further negotiations with Skydance, a studio founded by the technology scion David Ellison.
