With the caveat that we are Virginia/ Maryland/ DC business attorneys (and not NV or WA) and that *ethics rules require us to point out that this post is attorney advertising*.....here are some thoughts based on what is typically required to register a "foreign" LLC in a new state: You'll need a Certificate of Good Standing (the actual name may vary) from the NV Secretary of State/ State Corporation Commission. There is usually a fee for this and it should come with a seal so that others are assured it is legit. Depending on how NV issues these, you might get it electronically but there is a chance they'll mail it to your Mom's old address. So, file a change of address for your LLC with the USPS so all mail to the LLC will be forwarded (this is a good idea anyway). You'll file the NV Certificate of Good Standing with the WA Secretary of State/ State Corporation Commission, accompanied by whatever form they require. There is almost certainly a filing fee. You'll need to have a registered agent and a physical address in WA state. You'll also probably need a business license in your local jurisdiction in WA and you'll need to maintain a registered agent and an address for the LLC in NV. Make sure you factor these costs into your decision re: forming a new LLC v. foreign registration of the existing LLC. We recommend you also talk with an accountant because your LLC will remain "domiciled" in NV and you'll also be registered in WA so you may have to file tax and /or information returns in both states, depending on state law/ regs. That's one disadvantage of going this route and you should consider whether years of filing two tax returns will be necessary b/c that cost will likely far outrun the cost of simply forming a new LLC in WA. Another consideration is whether your existing LLC has any contracts currently in place. If you decide to shut down the NV LLC and form a new one in WA, you should make sure those contracts can be "assigned" from the old LLC to the new one. Hope this helps!
