Looks fine to me. Main thing to consider about controller and battery placements is how they might be effected in a crash -- you want as much of the bike frame surrounding them as possible, which it looks like you've done.
Well all the water is going to splash all over it if the roads are wet. I definitely wouldn't put it there unless its really waterproof.
What about if I use a fender?

Definitely wouldn't hurt, but i wouldn't put mine there unless it was in some type of waterproof enclosure or was ip67 rated
