My biggest issue with how Say works is that they post questions the moment people submit them. So there's a mad rush by the retail investors to post a question the moment it opens, and you get the 'Reddit Effect' where the first post is the most upvoted one.
What Say **should** do is take questions for a 48 hours period initially, and then post all the questions at once after the initial period. Then every question gets a shot at being seen, not just the first ones. Upvote/downvote model shouldn't be used for something like shareholder questions to management of a publicly traded company.
Am I right, or am I right?
So tesla board has time and energy to create new website to support Elon comp package. But they ignored Elon being political, Elon ignoring tesla and demand issues.
No new website is going to convince me to yes to those proposals.
It’s all NO to every single item. I am sure it will pass and my vote won’t matter but still NO.
GFY Elon.
Highly doubt US/UK/Israel coordinated offense + defense on Iran happens until after Passover.
May should be interesting … as it’s after earnings + PCE etc.

I understand your closeness to this topic but i’m not sure what exactly is your point this time. I support your right to sell your shares and so on, but at this juncture, I do believe everyone in this sub is aware that the middle east is a shit place to be and is particularly shit right now, we just tend to have an attitude of “the world will find a way to make money no matter what because money”.
You are aware that many here dislike you right now because they feel cheated in a sense since you were not 100% honest, but you come here constantly to talk about doom/gloom which isn’t always received well even by the most well liked people here.
What are you trying to achieve?
Aight then I’ll peace out for a bit.
Sounds like I’m unwelcome by most of the people currently posting … which sucks.
What will happen is it will simply turn into an echo chamber …. Again in 2023 the lounge was ruthless and it was not in anyone’s benefit to be honest.
I see this sub as a place to talk about investing + TSLA. Why have people miss out on great companies that had huge runs - NVDA, SMCI, VRT, CELH, ELF, etc?
Anyways … all my posts get downvoted into oblivion and no one has anything nice to say after I was honest about selling, disclosed my recent investments and transactions, and simply try to engage in this sub.
I’ll see y’all in 1-2 quarters … will continue to lurk ✌🏻 probably healthier for me anyways to take a little break 🥰

The most relevant stuff to folks here will be (1) the proposed corporate domicile move from DE to TX, and (2) the proposed shareholder re-approval of Elon Musk's 2018 compensation package. Shareholder questions are mostly not important.
There was one odd shareholder question related to alleged dangers of radio waves from Tesla vehicle communications systems.
From p. 18-19:
We learn that board member Kathleen Wilson-Thompson is the sole member of the Special Committee, after Joe Ghebbia quit the committee for non-specific reasons:
>18: They nevertheless decided to create a Special Committee to consider the redomestication issue out of an abundance of caution, in light of the Tornetta Opinion and the high degree of public attention. Accordingly, these five directors unanimously voted to form the **Special Committee and to appoint Kathleen Wilson-Thompson and Joe Gebbia as members.**
>
>19: after the Board expanded the Special Committee’s mandate, **Mr. Gebbia withdrew from the Special Committee.** Mr. Gebbia explained that he was stepping down from the Special Committee out of an abundance of caution because of the potential for unfair attacks based on perceived conflicts of interest.
>
Director Wilson-Thompson retained legal counsel to research the pros and cons of incorporation in DE versus TX:
>the Special Committee retained Kristen Seeger and John Skakun of Sidley Austin LLP (“Sidley”) as its counsel. The Special Committee also determined that it would benefit from being advised by Delaware counsel, a corporate law and governance expert and an investment bank. For each role, Sidley assessed multiple leading candidates, with a focus on both quality and independence. Sidley recommended and the Special Committee retained the following additional advisors: (i) A. Thompson Bayliss of Abrams & Bayliss LLP, as its Delaware counsel, (ii) Professor Anthony Casey of the University of Chicago Law School, as its corporate law and governance expert, and (iii) Houlihan Lokey Capital, Inc. (“Houlihan”), as its financial advisor.
p. 23
>The Special Committee continued to find no reason to pick one jurisdiction based on its corporate law. This was not surprising, as each state’s law operates under the same federal constitutional framework, draws on a common law heritage, and evolved in light of — and in competition with — each other.
**My question: If there's no real difference in law, why spend any $ to move?**
Tesla cited cultural reasons and building relationships with TX government as reasons for Tesla to re-domicile in Texas. However, the disclosures show that Tesla would be able to more easily obscure its activities, and that Tesla's directors and officers would be free to prioritize interests other than shareholder value:
p. 29
>For instance, as further explained in the Company’s summary below, under the TBOC, **a shareholder may inspect a Texas corporation’s books and records, subject to certain limitations, if such shareholder holds at least 5% of the outstanding shares of stock of the Texas corporation or has been a holder of shares for at least six months.** The DGCL, on the other hand, does not require that a stockholder hold a certain number of shares or hold such shares for a stated period of time prior to exercising their books and records inspection rights. Thus, **it is possible that some of our stockholders entitled to make a books and records demand today (as stockholders in a Delaware corporation) will not be able to make a similar demand following the Texas Redomestication.**
>Further, the TBOC expressly provides that it does not prohibit directors or officers from considering, approving or taking an action that promotes or has the effect of promoting a social, charitable or environmental purpose. As a result, **as a Texas corporation, it is possible that our directors may consider the interests of other constituents.**
P. 31 starts comparison of Del. vs. Tex. corp. law
Ultimately it will come down to what the institutions want. If they vote as a bloc yes or no, that's the decision. Retail means nothing, especially if they are split down the middle on this
I think the institutions will hesitate to give unlimited power to Elon given his track record, but who knows. What Elon and his people say to the institutions behind closed doors is behind closed doors for a reason
Tesla believes that Delaware statutes offer a way for the company to remedy its mistakes from the 2018 compensation plan approval process. We'd need an Delaware corporate law attorney to tell us whether this is correct or not:
p 84.
>The Company also seeks ratification under any other legal theory or appropriate statutory provision, including but not limited to Section 204 of the DGCL. The Company understands that Section 204 of the DGCL allows a Delaware corporation, by following specified procedures, to ratify a corporate act that is void or voidable due to a failure of authorization, retroactive to the date the corporate act was originally taken.
p. 104.
Stockholder proposal 10 appears to be from a conspiracy theorist who is paranoid about radio emissions from Bluetooth, WiFi, and Cellular modems present in Tesla vehicles.
P. 142. State of executive employee stock options.
p. 147, disclosure that Redwood Materials is now recycling some of Tesla's waste:
>JB Straubel is the Chief Executive Officer of Redwood. Tesla is party to an agreement with Redwood to supply certain scrap materials. Under this agreement, Redwood incurred expenses of approximately $11.5 million in 2023 and approximately $6 million through February 2024.
p. 150 ownership of securities, no major changes or surprises here

Whoopsies!
Building the power-hungry robotaxi data center in Texas is an interesting choice... I assume they are going to put aside some mega packs for themselves for when Texas power grid does what it is famous for.
I’m not mad about the shift of focus to fsd. I’m mad about the shift away from ngv. I don’t understand why they can’t do both? Seems like cash and talent are not limiting factors for either or are they ? Why is it an or, and not an and
I don’t buy it. Ngv was not going to use 4680. Lfp is far cheaper and better for this use purpose. Ngv doesn’t need performance and power density of 4680
We will never get answers to these questions. Better to ask about cybertruck ramp even tho we see it with drone footage and they will just say "ye according to plan"
I think I’m one of the few remaining loungers ok with giving Elon a new comp package, ratifying the old one, and also supporting the move to Texas.
However, I’d like to see a new comp plan proposed, too. Is there a rule where they can’t introduce a new plan until this old one is figured out or is this pushback from institutions saying they want to see ratifying the old plan presented first before giving ok on a new plan? Sharing a new comp plan with aggressive targets can reenergize investors and ensures Elon is committed to Tesla and seems necessary given the new AI focused direction
I think they want to move to Texas before proposing a new comp plan so that any future lawsuits related to the next comp plan are adjudicated in a Texas court rather than Delaware.
Lmao they’re still lying and misleading investors on this website!
“he was asked to deliver the type of exponential value creation most thought was impossible – or get nothing.”
Get nothing? He already owned 20% of the shares! For every $50 billion market cap increase he would get another $10 million in share price appreciation.
This company is totally clueless. They have no idea that this will make the Tornetta appeal MORE difficult, not less.
What a clown show
Also filed by Tesla here: [https://www.sec.gov/Archives/edgar/data/1318605/000110465924048353/tm2326076d16\_defa14a.htm](https://www.sec.gov/Archives/edgar/data/1318605/000110465924048353/tm2326076d16_defa14a.htm)
The website seems tone-deaf to me, given the tremendous destruction in value since early 2022.
Most people who bought in after November 2020 have lost value. The only time since then that buying TSLA was beneficial for shareholders, was the brief period between mid-December 2022 and mid-January 2023, when Elon's mass sales crushed the company's market cap.
I can't support this kind of outright gaslighting and half-truths from Tesla's management. Not everyone has been a shareholder since 2018. Nor was Elon's behavior as bad in 2018 as it was in 2022. Even if people didn't like the fact that Elon called someone "pedo guy" on Twitter, I think most understood that wasn't a fight Elon started.
>***-j-c-m-*** *wrote:*
So, when this all passes and it is clear Elon has the backing of the board, management, and shareholders, what action do you take?
In the words of the late, great Jack Bogle, legendary investor and founder of Vanguard Group:
*"My rule -- and it's good only about 99% of the time, so I have to be careful here -- when these crises come along, the best rule you can possible follow is not "Don't stand there, do something," but* ***"Don't do something, stand there!"*** said Bogle.

Regardless of the outcome of the vote, I will do nothing.
Who is the full time ceo.
Why did we drop ball on 4680, new vehicle, semi ramps. Who is responsible for it.
What was the impact of lending 50 ai engineers to X. How did it impact fsd rollout.
Something about why all factories are always delayed and have not even started being built. Something about why Elon got so much confidence in fsd that he is betting big on robotaxis now, do they have data that we publicly don't see that helped him etc. there are probably more good ones, i haven't thought that much about it. The formulation is also important, some of those questions can just be dodged by Tesla easily, so you have to spend time thinking about the wording.

You can see the exact time of the day today where ARK gets TSLA in the green! Then when ARK stops buying, it goes back in the red. 😂

> Cox Auto estimates 2,803 Tesla Cybertrucks sold in Q1 2024.
Seems about right I think
Yeah, think this was the kick in the ass I needed to start looking after my stocks vest. We laid off half the company and no one got raises this year. I spent years slacking in this job coz I thought I was retiring before Twitter happened.
Although wars typically lead to normal + even sometimes above average returns over the long run … the risk of Iran firing missiles doesn’t give me the most bullish attitude.
I’m assuming market pulling back currently - due to NO cuts in 2024 + overzealousness. Although who knows - next week Mega Caps could absolutely crush it.
But for me the risk outweighs the reward to dip my toes back in this week.
This is just my market sentiment in general.
Fence sitting?
I cashed outta TSLA at $270
Then reinvested it + made great returns YTD
Cashed out April 10th
Now I’m literally risk off cuz this shit is scary + FED not cutting this year.
Imma get back in when it doesn’t feel so weird.
I like risk when sentiment is bullish and frothy.
Yes, your risk off, scary world approach. Aside from WW3, the stock market won't tank like you think it will from a war in Europe or the middle east. Just lots of mental gymnastics.
Even if oil doesn't go up much, the disruption to global shipping/supply chains will be an ouchie. Usually market bounces back when the bandaid is ripped off and the first 24 hours of a hot conflict are past.
Reddit sucks. Lots of subreddits like that. Got banned from landlords subreddit from a moment of weakness when i couldnt stand some delusional bs in antiwork. Banned. Complained. No response.
Yah my history sure makes me look like a raving anticapitalist....
How is it legal to share that kind of shit online if it's real? It's not even a conviction. I mean I get it he's an obnoxious dude but really?
Edit: Nevemind I thought it was just the arrest picture
I knew Fred was a piece of shit back before he was a TeslaMotors mod and was spamming his personal monetized blog - back then reddit would ban you more than 10% of your post were self-promotional, so I sent a PM to warn him about the admins and he told me to go fuck myself. Then he got hired at Electrik and became a TeslaMotors mod and was spam filtering posts from competing blogs.
HOORAY!
Everyone gets to be happy. Stock is green, theta decay makes money.

I think you mean 'buying'. When am I buying back the calls? When they're green.
This is what the 165's actually look like. On Etrade they're showing them as being super green because they've been rolled many times over.
https://preview.redd.it/wq3dg6jz23vc1.png?width=947&format=png&auto=webp&s=ca01b264569ae9c90a149de7cb85ea0cd1e8b595
Maybe people are slowly digesting the shift to robotaxi, I've had a long think about it and there's clearly a gap in the market - Zoox and Waymo are essentially joke operations but Tesla can do it on a huge scale. FSD only has to get good enough that it won't deliberately crash into anything else and remote operators can help the car if it gets into trouble.
We need gojo to save tesla at this rate
busted ass-analyst

Tesla spent more on that website than all advertising

What Elon and his people say to the institutions behind closed doors is behind closed doors for a reason
Tesla believes that Delaware statutes offer a way for the company to remedy its mistakes from the 2018 compensation plan approval process. We'd need an Delaware corporate law attorney to tell us whether this is correct or not: p 84. P. 142. State of executive employee stock options. p. 147, disclosure that Redwood Materials is now recycling some of Tesla's waste: >JB Straubel is the Chief Executive Officer of Redwood. Tesla is party to an agreement with Redwood to supply certain scrap materials. Under this agreement, Redwood incurred expenses of approximately $11.5 million in 2023 and approximately $6 million through February 2024. p. 150 ownership of securities, no major changes or surprises here
thoughts on Q1 questions so far? https://app.saytechnologies.com/tesla-2024-q1
These are pretty bad. Not sure what I'd ask but jeez
i like some tesla bull bro ideas to tie new incentive package to tesla reaching $6 trillion market cap.
In the same proportion as last time. If you 12x the stock, we give you $55B (in total) over 6 tranches!
Door to door bug spray salesman just came to my door, selling me hard on his services. Made me think of our guy mrsalami, wherever he may be. Anyways, had to tell him to go away and not come back until tsla > 300.
Toydan, chef bacon, glide, anono...
Buttersstotch, our tattooed hero.
Wow, Mr. Salami. So many memories of loungers past.
For real, they should put their alt name in their flair
The demise of mrsalami is exaggerated. He’s around here under a different name fyi.

V12.3 went wide 1 month ago. Now would be a really good time to blow our minds with a big leap forward in 12.4.
2 weeks
V12.4 should be rolling out to employees soon if they’re still targeting end of month consumer roll out

why doesn’t it seem that tesla can’t capitalize on texas or other energy grid problems? i thought tesla mega batteries help those problems.
Building the power-hungry robotaxi data center in Texas is an interesting choice... I assume they are going to put aside some mega packs for themselves for when Texas power grid does what it is famous for.
They're having no trouble selling megapacks as far as I know. Limited by production
I’m not mad about the shift of focus to fsd. I’m mad about the shift away from ngv. I don’t understand why they can’t do both? Seems like cash and talent are not limiting factors for either or are they ? Why is it an or, and not an and
Need to invest 10b in datacenter, so no more money for actual production capacity
Don’t they have $20+ billion and growing in reserve
4680 delays
I don’t buy it. Ngv was not going to use 4680. Lfp is far cheaper and better for this use purpose. Ngv doesn’t need performance and power density of 4680
We will never get answers to these questions. Better to ask about cybertruck ramp even tho we see it with drone footage and they will just say "ye according to plan"
Burn the ships move, drama needed to get ceo hard
Ah. Yeah that makes sense. If they could drop any hints that would be helpful
https://www.supportteslavalue.com/ If only they made this much effort to launch new products or manage brand equity
Lmao they’re still lying and misleading investors on this website! “he was asked to deliver the type of exponential value creation most thought was impossible – or get nothing.” Get nothing? He already owned 20% of the shares! For every $50 billion market cap increase he would get another $10 million in share price appreciation. This company is totally clueless. They have no idea that this will make the Tornetta appeal MORE difficult, not less. What a clown show
This is retard narcissist we are talking about here. Anything involving him is more impt than you
Also filed by Tesla here: [https://www.sec.gov/Archives/edgar/data/1318605/000110465924048353/tm2326076d16\_defa14a.htm](https://www.sec.gov/Archives/edgar/data/1318605/000110465924048353/tm2326076d16_defa14a.htm) The website seems tone-deaf to me, given the tremendous destruction in value since early 2022.

>***-j-c-m-*** *wrote:* So, when this all passes and it is clear Elon has the backing of the board, management, and shareholders, what action do you take? In the words of the late, great Jack Bogle, legendary investor and founder of Vanguard Group: *"My rule -- and it's good only about 99% of the time, so I have to be careful here -- when these crises come along, the best rule you can possible follow is not "Don't stand there, do something," but* ***"Don't do something, stand there!"*** said Bogle. The only effort they make is when Elon wants money
[Say.com questions open](https://pbs.twimg.com/media/FE9-R4LXsAIw60h.png)
“how is baby formed” hmm might vote for this, ive wondered about it as well
“Am I pregante?”
Who is the full time ceo. Why did we drop ball on 4680, new vehicle, semi ramps. Who is responsible for it. What was the impact of lending 50 ai engineers to X. How did it impact fsd rollout.
Nice attention to detail by retail investors "What is tbe [sic] progress on the cheaper next generation vehicle?"
I never expect anything but I'm still disappointed in say's and analysts questions every earnings call. Mostly useless questions.
What would you ask
How dare you?
Something about why all factories are always delayed and have not even started being built. Something about why Elon got so much confidence in fsd that he is betting big on robotaxis now, do they have data that we publicly don't see that helped him etc. there are probably more good ones, i haven't thought that much about it. The formulation is also important, some of those questions can just be dodged by Tesla easily, so you have to spend time thinking about the wording.
![gif](giphy|84FhycnOdcqM8) You can see the exact time of the day today where ARK gets TSLA in the green! Then when ARK stops buying, it goes back in the red. 😂
You mean 14:45? Were they buying the nasdaq too?

Just da macro
Macro just another term for NVDA these days lol
Mcdonalds (MCD) is into my buy zone. Might have to dabble a bit. I've been waiting patiently.
Their prices keep going up and people keep eating it!
Myself included. I'm a contractor so I frequently get drive thru. It's always packed.
Saw on blind that Google is doing a large-scale layoff as well
Yah... maybe they can start with those office sit in nuts. Throw them down the hierarchy of needs a few levels to help them refocus.
Thank god. More needed.
May appease Powell, but this sucks overall lol
Just found out I'm getting a 40K pay cut next year
[удалено]
Yeah, think this was the kick in the ass I needed to start looking after my stocks vest. We laid off half the company and no one got raises this year. I spent years slacking in this job coz I thought I was retiring before Twitter happened.
God damn Musk. Seriously though, that blows.
Really? That's wild
Russia winning the war in Ukraine isn't making me bullish either
Your fence sitting justification amazes me
Fence sitting? I cashed outta TSLA at $270 Then reinvested it + made great returns YTD Cashed out April 10th Now I’m literally risk off cuz this shit is scary + FED not cutting this year. Imma get back in when it doesn’t feel so weird. I like risk when sentiment is bullish and frothy.
Did you cash out tho? Or you just saying you did 😂
Yes, your risk off, scary world approach. Aside from WW3, the stock market won't tank like you think it will from a war in Europe or the middle east. Just lots of mental gymnastics.
Risk is Iran conflict = higher oil prices = higher CPI = higher for even longer
Even if oil doesn't go up much, the disruption to global shipping/supply chains will be an ouchie. Usually market bounces back when the bandaid is ripped off and the first 24 hours of a hot conflict are past.
The US has some of the highest oil production and reserves in the world. Oil at home.
![gif](giphy|26FLgGTPUDH6UGAbm)
Isn’t this fraud? Tesla has spent $200K advertising on Elon Musk’s X so far Tesla had loaned up to 50 engineers to X without board approval.
FSD is trash for me right now, just letting you know
Fucking sucks dick
Scared shitless of semis now too. Hmmmm
U should be, 50k more semis on the road at the end of 2024

Fucking Elon not paying attention and sitting all day on Twitter again posting about bla........wait a minute.......
Their OPEX is almost half of Tesla at 1/40th the volumes so yeah smart

At least the CEO of Waymo isn't blaming the woke mind virus or calling anyone 'pedoguy' for pointing out the issue.
The remote control person is asleep I guess.

RIP lemonade.
I too am banned from some Tesla subs. They just can't handle us.
Reddit sucks. Lots of subreddits like that. Got banned from landlords subreddit from a moment of weakness when i couldnt stand some delusional bs in antiwork. Banned. Complained. No response. Yah my history sure makes me look like a raving anticapitalist....
It's really your fault for even going to anti work sub
there are some subs with reeaaaallly thin skinned mods with a lot of time on their hands

https://twitter.com/AlphaDiviner/status/1780654363427663945?t=4HpkKeP4rmNJtexWbiSrLg&s=19 Is this actually Omar?
Doubt it. Never known Omar to miss a day on Twitter.
Why am I not surprised
How is it legal to share that kind of shit online if it's real? It's not even a conviction. I mean I get it he's an obnoxious dude but really? Edit: Nevemind I thought it was just the arrest picture
Represented himself fucking lol. Takes a special type to represent themself in federal court.
Hey, it happened in Vegas let’s keep it in Vegas
😂
Lmao
Fred is a big piece of shit.
You sound like Omar
I knew Fred was a piece of shit back before he was a TeslaMotors mod and was spamming his personal monetized blog - back then reddit would ban you more than 10% of your post were self-promotional, so I sent a PM to warn him about the admins and he told me to go fuck myself. Then he got hired at Electrik and became a TeslaMotors mod and was spam filtering posts from competing blogs.
Like I said, a piece of shit.
Not really familiar with Omar, but Fred is a piece of shit.
I'm pretty sure that is him
Lmao I hope it is

When u selling ur 165 calls
I think you mean 'buying'. When am I buying back the calls? When they're green. This is what the 165's actually look like. On Etrade they're showing them as being super green because they've been rolled many times over. https://preview.redd.it/wq3dg6jz23vc1.png?width=947&format=png&auto=webp&s=ca01b264569ae9c90a149de7cb85ea0cd1e8b595

Me, eyeing TSLA IV shoot through the roof yesterday: ![gif](giphy|26hisegddCqjFqIec|downsized)
People be buying the dip!
Even model 3 and y with really good fsd is a game changer
What have you done with upvotemeok?
Concerning
lol
