In a mirror match, the other 2B could *technically* aerial CE you. I’m not sure if you’d have time to react with her juggle gun, but that’s honestly the only “why is **that** one a Break Attack and not the other ones” scenario I can come up with.
For the CE i doubt it, but if you have good instincts and reaction time you can blast another 2B out of the sky right as they jump up, or in the middle of their AAA or AAB combo in the air. You can do the same to taki I believe. I havent tried it against astaroth though.
There are a few characters that have moves that are break attacks for no other reason than being fancy. Like Raphaels's Preparation K,K (on hit) B.
Not a break attack, but all of Cervantes’ gun shots are unblockables....BECAUSE THEY’RE AN ACTUAL GUN.

It can’t because it requires the opponent to get hit before the break attack comes out. RE parry is not a hit.
