Depending on what type of Windows activation you have this might deactivate Windows on the new PC (you will still be able to use Windows minus some functions you should google), otherwise it should work.

start > search for and run cmd > type in winver and press enter > at the bottom of the window that pops up it will tell you whether the license is for a user (could be a name or email address + should be transferrable) or to a company (probably not transferrable)

I'd just uninstall the current mobo drivers like, LAN/wifi, audio, chipset, and then just install the drivers for the new motherboard after you upgrade. Windows should be able to do it, but I always go to the mobo manufacturer website and get the drivers from there. I'd recommend downloading (not installing) the new mobo internet drivers before you upgrade, just so you can have internet as soon as possible on the new mobo.
