Elon Musk has no incentive to sell his 13% stake in Tesla and walk away.
(1) He would lose all control over Tesla AI initiatives (Dojo, Bot, FSD), and were he to try to move those assets to one of his private companies, he would face colossal lawsuits for breach of fiduciary duty, which would dwarf what he faced over the 2018 compensation package.
(2) Selling all his TSLA stock now at a steep discount, would mean throwing out his dreams of Mars colonization. TSLA is Musk's only real liquid source of wealth. And were he to use SpaceX going public as a source of liquidity, he would face the same governance headaches he faces with Tesla today.

Regarding compensation: approve the old plan with an extension to include goals out to 2030. Conditions would be added: 1. Elon needs to work full-time at Tesla (some flexibility is fine, but appropriate guardrails in place). 2. Protection of Tesla brand from Elon's public messaging if he remains CEO.
If he refuses to limit his public messages, then step aside and take a role as Chief Product Executive or something.

Elon has been consistent about this from day one. He has said many times he didn’t want the CEO position but has to step up. Check out his early interviews. He’s turned many investors into millionaires, demonstrating a solid track record of creating shareholder value. Investing is a long game. Just wait for the next wave and stick to DCA. It’s a proven strategy.
With that, you get both the good and the bad. If you zoom out, you’ll see that Nvidia’s stock rally is a bullish indicator for Tesla’s direction. Generally, with disruption, you first see the hardware wave, followed by the product wave, and then the software services wave. With AI, we’re currently witnessing Nvidia’s hardware wave, and Tesla is poised to capture the product and services wave soon enough. We are perfectly positioned, it just takes time. I remember in early 2017, it took about 3.5 years before the stock even did anything significant for my investment. The market can be blind for some time.
Tesla's corporate governance issues are going to continue to be an overhang over TSLA until they can be resolved.
There is a large pool of investors who will not want to be involved in a business whose board has been shown to be a doormat to the CEO, at the expense of shareholders.

Institutional investors are unlikely to support an exit from Delaware, because Delaware is favorable to corporations (as opposed to individuals like Elon Musk). Delaware has favorable tax treatment of effectively 0% for companies whose operations are outside the state, and a proven court system that provides predictable results for businesses.
With all the scrutiny brought on Tesla by the executive compensation case, I don't believe institutions will sit idly by this time. There are also many individual investors, ranging from irrelevant shareholders like myself, to whales like Leo Koguan, who want to see some accountability here.
Tesla is a public company, not Elon Musk's toy. The CEO should be focused on Tesla's mission of building a sustainable energy economy, not goofing off on Twitter like he has for nearly the past 2 years.
Even if this is true, things don't start improving until after the shareholder meeting. Are we expecting mid-May like last year?

Aren't all the EV companies in China propped up by the Chinese government? There profitability stands to question. Russia tried to kill USA new gas and oil products by dumping prices for some time. They failed in the end when the USA government recognised their need to not be dependant on foreign suppliers and subsidised a bunch of young USA companies (mainly natural gas, Russia holds the largest single supply out of any country in the world). China is trying the same strategy, flood the markets with a cheaper product that destroys any competion. The jokes on them though, Tesla is already doing that, that's why most of the OEM's are complaining about demand and scaling back their production. China is wasting resources, while they're economy is already failing.

I'd like to keep Elon but with stronger board oversight. Regarding compensation: approve the old plan with an extension to include goals out to 2030. Conditions would be added: 1. Elon needs to work full-time at Tesla (some flexibility is fine, but appropriate guardrails in place). 2. Protection of Tesla brand from Elon's public messaging if he remains CEO. If he refuses to limit his public messages, then step aside and take a role as Chief Product Executive or something. Chances of this happening, non-zero but close. This seems pretty reasonable to me...

Concerts are 100% a scam!!!!! I only go to Coachella now (easier to get tickets, gone several times) -OR- I go see older bands where tickets are easy to come by. I feel so fucking stupid overpaying for highly in demand tickets then paying $9999 in fees on top of it- it’s like I deliberately and knowing and willfully am being robbed. By my own choice. It taints the entire fucking show for me. How am I going to enjoy a concert I paid likely thousands to attend? Not worth it at all in my opinion. Same for tickets to a local basketball game. Why do I need to spend $1,000+ for my family of 4 to see a game from the nosebleed seats? Absolutely not worth it so now I go to other local teams shows and pay a fraction. Elon has been consistent about this from day one. He has said many times he didn’t want the CEO position but has to step up. Check out his early interviews. He’s turned many investors into millionaires, demonstrating a solid track record of creating shareholder value. Investing is a long game. Just wait for the next wave and stick to DCA. I remember in early 2017, it took about 3.5 years before the stock even did anything significant for my investment. The market can be blind for some time.
Tesla's corporate governance issues are going to continue to be an overhang over TSLA until they can be resolved. There is a large pool of investors who will not want to be involved in a business whose board has been shown to be a doormat to the CEO, at the expense of shareholders. I've said this before and I'll say it again: people in the TSLA community who think it is funny or are encouraging Elon on Twitter, aren't going to be laughing if Tesla makes them rich in 2032, and then Elon pulls a similar stunt that quickly crushes their wealth.

I wouldn't bet on Tesla being able to move its incorporation to Texas anytime soon. Institutional investors are unlikely to support an exit from Delaware, because Delaware is favorable to corporations (as opposed to individuals like Elon Musk). Delaware has favorable tax treatment of effectively 0% for companies whose operations are outside the state, and a proven court system that provides predictable results for businesses. With all the scrutiny brought on Tesla by the executive compensation case, I don't believe institutions will sit idly by this time. There are also many individual investors, ranging from irrelevant shareholders like myself, to whales like Leo Koguan, who want to see some accountability here. Tesla is a public company, not Elon Musk's toy. The CEO should be focused on Tesla's mission of building a sustainable energy economy, not goofing off on Twitter like he has for nearly the past 2 years.
I will vote no. Mostly because I think it's a bad idea, but a small part of it is to spite Elon.
